Terms of Use

Dumeau Home Management Inc. · Version 1.0 · Effective date: August 28, 2026

These Terms of Use (these “Terms”) are a binding agreement between you and Dumeau Home Management Inc., a corporation incorporated under the laws of the Province of Alberta (“Dumeau”, “we”, “us”), governing your use of the Site. By creating an account, by clicking to accept these Terms where prompted, or by using the Site, you accept these Terms. If you do not accept them, do not use the Site.

1 · Interpretation

1.1 Definitions. In these Terms:

  • “Account” means the credentials-protected access Dumeau issues to a Member, authorized household user, or Contractor for a Portal;
  • “Consumer Protection Act” means the Consumer Protection Act (Alberta) and its regulations, as amended;
  • “Contractor” means an independent trade business that has entered into a Trade Services Agreement with Dumeau;
  • “Member” means an individual with a Membership Agreement in force;
  • “Member Data” has the meaning in Section 7.1;
  • “Membership Agreement” means the membership agreement between Dumeau and a Member, as amended under its own terms;
  • “Portal” means the member portal and the partner portal, each an access-controlled area of the Site;
  • “Privacy Policy” means Dumeau's privacy policy, as amended under its own terms;
  • “Site” means dumeau.ca, the Portals, and any software Dumeau makes available through them;
  • “Trade Services Agreement” means the trade services agreement between Dumeau and a Contractor, as amended under its own terms.

1.2 Interpretation.Headings are for convenience only. “Including” means “including without limitation”. “Written” and “in writing” include email and the Portal.

2 · Acceptance and scope

2.1 How these Terms are accepted.These Terms are presented for review before any acceptance step. Acceptance occurs when you click to accept where prompted, create or first use an Account, or continue to use the public Site after reaching it. For Account holders, Dumeau logs the accepting Account, the version of these Terms accepted, and the date and time of acceptance, and that log is Dumeau's record of your acceptance.

2.2 What these Terms govern. These Terms govern use of the Site only. They apply to every person who uses the Site: visitors, Members, authorized household users, and Contractors.

2.3 What these Terms do not govern.These Terms are not the service contract. The services, fees, work at a Member's home, cancellation, and Dumeau's responsibilities to a Member are governed by the Membership Agreement. A Contractor's engagement, scope, payment, and obligations are governed by its Trade Services Agreement. The handling of personal information is described in the Privacy Policy.

3 · Order of precedence

3.1 Hierarchy.If these Terms conflict with the Membership Agreement on any matter concerning the services, fees, work, cancellation, or the commercial relationship between Dumeau and a Member, the Membership Agreement prevails. If these Terms conflict with a Trade Services Agreement on any matter concerning a Contractor's engagement, the Trade Services Agreement prevails. On matters concerning use of the Site itself, these Terms prevail.

3.2 No restatement. Nothing in these Terms restates, varies, or replaces a term of the Membership Agreement or a Trade Services Agreement, and nothing in these Terms creates an entitlement to the services.

4 · Eligibility

4.1 Age and capacity. You may use the Site only if you are at least 18 years of age and capable of entering into a binding contract.

4.2 Portal access. Portal access is limited to Members, household users a Member has authorized, Contractors, and Dumeau personnel. Dumeau issues Accounts by invitation and may decline to issue an Account.

5 · Accounts and security

5.1 Credentials. You are responsible for keeping your Account credentials confidential and for all activity under your Account. Dumeau is entitled to treat activity under your Account as yours.

5.2 Compromise. You must notify Dumeau promptly at hello@dumeau.ca if you know or suspect that your Account has been accessed without authority.

5.3 Household users.A Member who authorizes another person to use the household's Portal access is responsible for ensuring that person is entitled to see the household's information. Dumeau may act on instructions received through any Account authorized on the household.

6 · Licence

6.1 Grant.Dumeau grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for its intended purpose: learning about Dumeau, inquiring about membership, and, through an Account, managing your household's membership or your engagement as a Contractor.

6.2 Reservation. No right is granted except the licence in Section 6.1. The licence ends when your Account is closed or your access is suspended or terminated under these Terms.

7 · Member data and submitted content

7.1 Ownership.Information a Member or household user submits to the Site or that Dumeau records about the Member's home in the course of the services, including systems inventory entries, photographs, documents, and service records (“Member Data”), belongs to the Member.

7.2 Licence to Dumeau.The Member grants Dumeau a non-exclusive licence to host, store, reproduce, and use Member Data to provide and administer the services, to maintain the home's record, and to improve Dumeau's internal operations. This licence lasts as long as Dumeau holds the Member Data under its retention practices described in the Privacy Policy.

7.3 Export on cancellation.On cancellation of a Membership, the Member may request an export of the home's systems record and service history in a portable format. The export mechanics, format, and window are set out in the Membership Agreement and the Privacy Policy; where they differ from these Terms, those documents govern.

7.4 Your responsibility for content. You must have the right to submit what you submit. Do not upload content that is unlawful, infringing, or malicious. Dumeau may remove content that breaches this Section.

8 · Acceptable use

8.1 Prohibited conduct. You must not:

  • use the Site unlawfully, or to harass, threaten, defraud, or misrepresent;
  • access or attempt to access an Account, household, or job that is not yours;
  • probe, scan, or test the security of the Site, or circumvent an access control;
  • interfere with the operation of the Site or impose an unreasonable load on it;
  • introduce malware or any harmful code;
  • scrape, harvest, or bulk-copy content or data from the Site, whether manually or by automated means;
  • reverse-engineer, decompile, or disassemble any part of the Site, except to the extent a law permits it notwithstanding this restriction; or
  • use the Site to build or assist a competing service.

8.2 Consequences. Dumeau may suspend or restrict access under Article 16 where it reasonably believes this Article has been breached.

9 · Intellectual property

9.1 Dumeau property. The Site, its software, design, text, graphics, trademarks, and all content other than Member Data belong to Dumeau or its licensors and are protected by intellectual property law.

9.2 Permitted use.You may view, download, and print pages from the public Site for your own non-commercial use, provided proprietary notices are kept intact. Any other reproduction or use requires Dumeau's prior written consent.

10 · Third-party services

10.1 Third-party providers. Parts of the Site are delivered through third-party services under their own terms, including payment processing (Stripe), hosting and infrastructure (Vercel, Neon), transactional email (Resend), error monitoring (Sentry), accounting (Intuit QuickBooks Online), and AI-assisted processing (Anthropic). The Privacy Policy identifies these providers, what they process, and where.

10.2 Links. The Site may link to third-party websites. Dumeau does not control them and is not responsible for their content or practices. A link is not an endorsement.

11 · Site content

11.1 General information only.Guides, articles, service-life information, and similar material on the public Site describe how home systems generally work. They are not advice about your home, an inspection, a diagnosis, or a professional opinion, and you must not rely on them as such. Advice about a Member's own home is delivered through the Membership and the home's record, under the Membership Agreement.

11.2 Published prices. Prices published on the Site are current published prices, stated in full and excluding applicable taxes. The prices that apply to a Member are those in the Membership Agreement and in each Work Authorization the Member approves.

11.3 Not an emergency service.Dumeau is not an emergency service and the Site is not a way to summon emergency help. For fire, a gas smell, flooding in progress, or any threat to life or safety, call 911 or the relevant utility's emergency line first.

12 · Availability and modification

12.1 No guarantee of availability. Dumeau does not warrant that the Site will be uninterrupted, timely, or error-free. Dumeau may change, suspend, or withdraw any feature of the Site, and may schedule or perform maintenance, without liability under these Terms.

12.2 Services unaffected. Where an interruption of the Site affects the delivery of the services themselves, the Membership Agreement governs the consequences, and Section 12.1 does not limit it.

13 · Disclaimer of warranties

13.1 Site provided as is.The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Dumeau disclaims all warranties, conditions, and representations regarding the Site, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13.2 Statutory rights preserved. Nothing in these Terms excludes, limits, or modifies any right, benefit, or protection you have under the Consumer Protection Act or any other law that cannot be excluded, limited, or modified by agreement. Section 13.1 applies only to the extent the law allows.

14 · Limitation of liability

14.1 Site use.To the maximum extent permitted by law, Dumeau is not liable for any loss arising from use of, or inability to use, the Site itself, including loss caused by an interruption, a delay, a defect, or an inaccuracy in general information on the public Site, except to the extent the loss results from Dumeau's failure to act with reasonable care and skill.

14.2 Excluded damages. To the maximum extent permitted by law, Dumeau is not liable under these Terms for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, data, or goodwill, arising from use of the Site.

14.3 Services carved out.Dumeau's responsibilities for the services and for work at a Member's home are set out in the Membership Agreement, and nothing in this Article limits them. This Article applies only to the Site.

14.4 No exclusion of the inexcludable. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or wilful misconduct, or for any liability that cannot be excluded or limited by law.

15 · Indemnity

15.1 Indemnity for misuse.You will indemnify Dumeau against third-party claims, and the reasonable costs of defending them, to the extent caused by your breach of Article 7.4 or Article 8, or your unlawful use of the Site. This Section does not apply to a Member acting as a consumer except to the extent the law permits, and it does not require you to indemnify Dumeau for Dumeau's own negligence.

16 · Suspension and termination of access

16.1 Suspension. Dumeau may suspend or restrict an Account where it reasonably believes these Terms have been breached, the Account is compromised, or suspension is needed to protect the Site, another user, or Dumeau. Dumeau will tell the Account holder why, unless the law prevents it or doing so would defeat the purpose of the suspension.

16.2 Termination of access. Dumeau may terminate Site access for a serious or repeated breach of these Terms.

16.3 Membership unaffected.Suspension or termination of Site access under this Article does not, by itself, end a Membership or a Trade Services Agreement. Cancellation and termination of a Membership, including the Member's right to cancel at any time, are governed solely by the Membership Agreement.

17 · Changes to these Terms

17.1 Amendment. Dumeau may amend these Terms. Each version carries a version number and effective date, and Dumeau keeps prior versions available on request.

17.2 Material changes.Where an amendment materially affects Account holders' use of a Portal, Dumeau will give notice at least 30 days before the amendment takes effect and will require affirmative re-acceptance through the Portal. Continued use alone is not acceptance of a material change.

17.3 Non-material changes. For changes that do not materially affect use of a Portal, the amended Terms take effect when posted with a new effective date.

18 · Electronic communications

18.1 Consent. You consent to receive notices, records, and communications relating to the Site and these Terms electronically, by email to the address on your Account or through the Portal, and you agree that electronic delivery satisfies any legal requirement for writing or delivery. You may update your email address through the Portal or by writing to hello@dumeau.ca.

18.2 Marketing separate. This Section is not consent to marketing email. Consent to marketing is collected and managed separately, as described in the Privacy Policy.

19 · Governing law and disputes

19.1 Governing law. These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta.

19.2 Courts. The courts of Alberta have jurisdiction over any dispute arising from these Terms or use of the Site. Nothing in these Terms requires you to arbitrate, waives any right to bring or participate in a proceeding, or limits any right you have to bring a claim in any court or tribunal with jurisdiction.

20 · General

20.1 Entire agreement for Site use. These Terms, together with the Privacy Policy, are the entire agreement between you and Dumeau concerning use of the Site. They do not merge with, amend, or supersede the Membership Agreement or any Trade Services Agreement, which continue to govern the matters described in Article 3.

20.2 Severability. If any provision of these Terms is held unenforceable, it is severed to the minimum extent necessary and the remainder continues in force.

20.3 No waiver. A failure by Dumeau to enforce a provision is not a waiver of it.

20.4 Assignment. You may not assign your rights under these Terms. Dumeau may assign these Terms to a successor of its business on notice through the Site.

20.5 Notices to Dumeau. Notices to Dumeau under these Terms go to hello@dumeau.ca.

20.6 Survival. Articles 7 (as to the licence in Section 7.2 while Member Data is held), 9, 13, 14, 15, 19, and 20 survive termination of your access.
